Terms and Conditions of NorthZilla
- Acceptance of Terms
By accessing or using the services provided by NorthZilla (“Company”, “we”, “our”, or “us”), whether through our website, email, phone, or any other means, you (“Client”, “you”, or “your”) agree to be bound by these Terms and Conditions, our Privacy Policy, and any other agreements that may apply.
“Services” refers to digital marketing services, including but not limited to SEO, Paid Ads, social media marketing, content creation, web design, and consulting. Services will be customized according to the agreed project scope in the proposal or agreement.
“Agreement” refers to these Terms and any related contracts or proposals.
If you do not agree to these terms, do not use our services.
- Scope of Services
NorthZilla provides customized digital marketing solutions based on the Client’s requirements. The exact scope of work will be outlined in a separate Service Agreement or Statement of Work (SOW).
- Client Responsibilities
- Provide accurate and complete information required for service execution.
- Obtain necessary rights/licenses for any content (logos, trademarks, etc.) provided to NorthZilla.
- Grant access to necessary accounts (e.g., website backend, analytics, ad accounts).
- Make timely payments as per the agreed schedule.
- Comply with all applicable laws in their jurisdiction.
4. Eligibility
You must be at least 18 years old to use our services. By using our services, you confirm that you are legally capable of entering into a binding contract.
- Fees & Payment Terms
- All fees will be outlined in the proposal or invoice.
- A non-refundable deposit (usually 50%) is required before work begins.
- Remaining balances are due upon project completion or on a monthly/quarterly basis for ongoing services.
- Payments can be made via credit card, PayPal, bank transfer, e-mail transfer (e-transfer), or any approved method.
- Late payments may incur a 5% monthly charge or service suspension.
- Taxes (GST/HST, VAT, etc.) will be applied where applicable.
6. Refund & Cancellation Policy
- We offer no refunds for services already rendered.
- For subscription-based or monthly retainers, cancellations require 30 days’ written notice.
- We reserve the right to terminate services for breach of contract or misuse.
7. Intellectual Property (IP) Rights
- Client-owned IP:Any pre-existing materials provided by the Client remain their property.
- NorthZilla-owned IP:Tools, methodologies, and proprietary systems developed by NorthZilla remain our exclusive property unless otherwise agreed.
- Deliverables:Upon full payment, the Client receives a license to use deliverables, unless otherwise stated.
- All original content created by NorthZilla during the project remains our intellectual property until full payment is received.
- Upon full payment, ownership rights of the deliverables (excluding third-party tools and software) are transferred to the Client.
- Clients grant NorthZilla a limited license to showcase completed work in portfolios or promotional materials unless otherwise stated.
8. Service Limitations & Guarantees
- We do not guarantee specific rankings or traffic volumes, as digital marketing results vary by industry, competition, and algorithm changes.
- Marketing outcomes depend on many external factors beyond our control.
9. Confidentiality
- Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the project.
- This clause survives termination of the agreement.
10. Data Protection & Privacy Compliance
- NorthZilla complies with Canada’s PIPEDA, EU’s GDPR, and other relevant data protection laws.
- US CCPA (California Consumer Privacy Act) if applicable
- Client data is stored securely; we do not sell personal information.
- Clients must ensure their own compliance with privacy laws when sharing user data with us.
11. Third-Party Services & Tools
- We may use third-party tools (e.g., Google Analytics, Facebook Ads, SEO plugins).
- We are not liable for service interruptions, losses, or data breaches originating from such third-party providers.
12. Limitation of Liability
NorthZilla shall not be liable for:
- Any indirect, incidental, or consequential damages.
- Loss of revenue or business.
- Damages due to downtime, data loss, or external service failures.
- We do not guarantee specific results (e.g., rankings, leads, or sales).
- Maximum liability is limited to the amount paid by the Client within the last 3 months for the services in question.
13. Indemnification
Clients agree to indemnify and hold NorthZilla harmless from any claims, damages, or expenses arising from:
- Breach of these Terms
- Misuse of our services
- Violation of laws or third-party rights
14. Governing Law
- Disputes will first be resolved through negotiation.
- These terms are governed by the laws of the Province of Ontario, Canada, and any disputes shall be resolved in the courts of Ontario.
- For international clients, the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
15. Force Majeure
NorthZilla shall not be held liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, government restrictions, cyber attacks, internet outages, labor strikes).
16. Amendments
NorthZilla reserves the right to update these Terms at any time. Continued use of our services after updates indicates acceptance.
17. General Provisions
- Entire Agreement: These Terms supersede prior agreements.
- Severability: If any clause is invalid, the rest remain enforceable.
- Waiver: Failure to enforce a right does not waive it.
18. Termination
Either party may terminate the agreement with written notice. Upon termination:
- Outstanding balances must be paid.
- Work completed will be delivered (if applicable).
- Access to shared accounts will be revoked.
19. Entire Agreement
These Terms, along with any signed proposal or agreement, represent the entire agreement between you and NorthZilla.
By engaging with NorthZilla, you acknowledge that you have read, understood, and agreed to these Terms.
